Terms of Service

1. Acceptance of Terms

By engaging Code Copy Fusion LLC ("Company," "we," "us," or "our") for AI automation services, you ("Client," "you," or "your") agree to these Terms of Service. If you do not agree to these Terms, please do not use our services.

2. Services Description

Code Copy Fusion LLC provides AI-powered automation solutions for healthcare practices, including but not limited to:

• Patient Assistant: Automated patient communication systems
• Physician Assistant: AI-powered clinical documentation tools
• Custom AI automation solutions
• Implementation, training, and ongoing support services

3. Service Agreement & Payment

Upon agreement to engage our services:

• A detailed scope of work will be provided outlining deliverables
• Payment terms are as specified in your service agreement
• Full payment or agreed-upon payment plan must be completed as scheduled
• Services include 12 months of support from implementation date

4. Client Responsibilities

To ensure successful implementation, you agree to:

• Provide accurate and complete information necessary for service delivery
• Designate appropriate personnel to work with our team
• Provide timely feedback and approvals as requested
• Ensure compliance with applicable laws and regulations in your use of our services
• Maintain appropriate security measures for your systems and data

5. Intellectual Property

Upon full payment:

• You retain ownership of your business data and patient information
• Custom configurations developed specifically for your practice become your property
• Code Copy Fusion LLC retains ownership of underlying AI systems, methodologies, and proprietary technology
• We may use anonymized, aggregated data to improve our services

6. Confidentiality

Both parties agree to:

• Maintain confidentiality of proprietary information shared during the engagement
• Not disclose confidential information to third parties without written consent
• Use confidential information only for purposes of fulfilling obligations under these Terms
• Return or destroy confidential information upon termination of services

7. Healthcare Compliance

For healthcare clients:

• We will enter into a Business Associate Agreement (BAA) as required under HIPAA
• Our services are designed to support your compliance obligations
• You remain responsible for your practice's overall compliance with healthcare regulations
• You must ensure appropriate use of AI tools within your clinical workflows

8. Warranties & Disclaimers

We warrant that:

• Services will be performed in a professional and workmanlike manner
• Our team possesses the skills and expertise to deliver the services described

EXCEPT AS EXPRESSLY PROVIDED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability shall not exceed the amount paid for services in the preceding 12 months
• We shall not be liable for indirect, incidental, consequential, or punitive damages
• We are not liable for decisions made based on AI-generated outputs
• Clinical decisions remain the responsibility of licensed healthcare providers

10. Indemnification

You agree to indemnify and hold harmless Code Copy Fusion LLC from claims arising from:

• Your use of our services
• Violation of these Terms
• Violation of applicable laws or regulations
• Clinical decisions made using our AI tools

11. Termination

Either party may terminate services:

• With 30 days written notice
• Immediately upon material breach by the other party
• Refunds for prepaid services will be prorated based on work completed

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

13. Dispute Resolution

Any disputes arising from these Terms shall first be addressed through good-faith negotiation. If unresolved, disputes shall be settled through binding arbitration in accordance with the rules of the American Arbitration Association.

14. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated to active clients. Continued use of services after modifications constitutes acceptance of updated Terms.
